Under the Forbearance Agreement, the Agent and the Lenders have agreed to forbear from exercising their rights and remedies under the Credit Agreement in respect of certain defaults and alleged defaults thereunder, which include a cross-default as a result of the Company's failure to make an interest payment due on April 2 pursuant to the terms of the indenture governing the Company's 1.0%/8.0% senior secured notes due 2020 and certain financial reporting defaults by the Company under the Credit Agreement. Under the Forbearance Agreement, that forbearance will continue through April 16, 2018, unless certain specified circumstances cause an earlier termination of that forbearance. "Through this acquisition, we welcome more than 100 employees to the Granite team," Granite said. "Going forward, LiquiForce will continue to operate from offices in Kingsville, Ontario, Hamilton, Ontario, and Romulus, Michigan. The transaction is expected to be immediately accretive to Granite's 2018 earnings per share." Financial terms of this cash deal are undisclosed. LiquiForce today is an approximately $40M annual revenue run-rate business with low double-digit EBITDA margins. This is an all-cash deal, and Granite will use its revolving credit facility for financing, while also in the process of increasing the revolving credit facility to provide for future growth opportunities. Financial close of the transaction was today, April 3, 2018. One-time costs related to the acquisition of LiquiForce are estimated to be less than $1M and will be recorded in the second quarter of 2018.

The company will be required to provide an initial payment to cover raw material purchases and reserve appropriate resources. Final payment for any batch of product shall only be made by the cmpany following acceptance of the product.

Of the Pages that had content, the vast majority of them, or 95%, were in Russian - targeted either at people living in Russia or Russian-speakers around the world including from neighboring countries like Azerbaijan, Uzbekistan and Ukraine. "The IRA has repeatedly used complex networks of inauthentic accounts to deceive and manipulate people who use Facebook, including before, during and after the 2016 US presidential elections," the company said. "It's why we don't want them on Facebook. We removed this latest set of Pages and accounts solely because they were controlled by the IRA - not based on the content. This included commentary on domestic and international political issues, the promotion of Russian culture and tourism as well as debate on more everyday issues." Facebook released a sample of the Page posts and ads in the blog post as well, saying that it will be updating its Help Center tool in the next few weeks so users can check if they liked or followed one of these Pages. 16:12 EDT Alcoa signs group annuity contracts to transfer Canadian pension obligations - Alcoa Corporation has signed group annuity contracts to transfer approximately $555M in obligations, and related assets, of defined benefit pension plans in Canada. The transfer, which will be complete later this month, is aligned with Alcoa's strategic priority to strengthen its balance sheet by lowering the company's risk to volatility from its pension plan obligations. The group annuity contracts with three Canadian insurance companies will cover approximately 2,100 retirees or beneficiaries. The companies will begin making benefit payments to the affected plan participants by July 2018. The timing and amounts of retirees' current monthly benefit payments will not change. In the second quarter of 2018, Alcoa expects to record a non-cash settlement charge of approximately $175M due to these annuity transactions. As part of the annuity agreements, Alcoa will contribute approximately $95M in mid-April 2018 to facilitate the annuity transaction and maintain the funding level of the remaining plan obligations. This amount represents a portion of the $300M in incremental contributions the Company anticipates making in 2018 to the U.S. and Canadian defined benefit pension plans, as previously announced on January 17.

The contracts represent approximately double the E-Rate recurring revenue that Zayo was awarded during calendar year 2017 and demonstrate Zayo's heightened focus on the public, health and utilities segment, which includes K-12 schools. The contracts include a range of dark fiber and lit fiber-based connectivity solutions to provide schools and libraries with high-speed connectivity. The majority leverage existing Zayo network, much of which was deployed for Mobile Infrastructure projects. These projects also include network expansion, which in turn will be leveraged for other projects, including small cell deployments. Many schools are opting for Private Dedicated Networks, which are fully managed solutions that include dark fiber, equipment and network operational support. The districts are funding the upgrades through E-Rate, a federal program that subsidizes internet infrastructure for schools and libraries.

15:32 EDT Euronet slides after MoneyGram teams with Walmart on global transfer service - Shares of Euronet Worldwide (EEFT) are under pressure after Walmart (WMT) announced that it is teaming up with MoneyGram (MGI) to launch a new global money wiring service called Walmart2World. Commenting on the news, DA Davidson analyst Peter Heckmann believes the new service should not have any material impact on Euronet's pricing. However, his peer at William Blair told investors that the new service arguably adds a little more uncertainty to the Euronet story. WALMART2WORLD: MoneyGram and Walmart announced the launch of Walmart2World, Powered by MoneyGram, a new money transfer service that allows customers to send money from Walmart in the U.S. to any MoneyGram location in 200 countries. The companies also renewed their long-term agreement to offer all MoneyGram products and services at Walmart for two more years. "Wherever you are in the United States, and to wherever you are sending money, the new, low fees for Walmart2World are the same - $4 to send up to $50, $8 to send $51 to $1,000, and $16 to send $1,001 to $2,500," Walmart said. It added, "Compared to other international wire services that can take up to three days, Walmart2World will deliver funds in 10 minutes or less, whether the receiver opts to pick up the money at any one of MoneyGram's agent locations in 200 countries, or an international bank or mobile wallet account." NO MATERIAL IMPACT TO EURONET PRICING: Commenting on Walmart's announcement, DA Davidson's Heckmann noted that the new pricing for Walmart2World appears to be set fairly close to Euronet's offerings and he does not anticipate any material impact to Euronet's pricing or volumes as a result of the service. The market seems to be interpreting that any win for MoneyGram is a direct loss for Euronet, but he does not see it as "quite that black and white." The analyst, who still thinks there are a number of opportunities for Euronet to expand its relationship with Walmart over time, also believes Euronet would still be interested in a deal to buy MoneyGram, though any deal may be structured and priced differently than its prior bid. Heckmann reiterated a Buy rating on Euronet shares. UNCERTAINTY TO EURONET STORY: In a research note of his own, William Blair analyst Christopher Shutler told investors that since MoneyGram has been available in Walmart stores for years, he views this as a re-branding of an existing service, but with new pricing and in some cases maybe faster transfer times. While Shutler is not sure if Euronet formally bid on this business, the biggest issue he sees for the latter's stock is that this agreement shows a willingness on MoneyGram's part to play ball with Walmart on white-labeled products. The new MoneyGram-Walmart deal has an initial term of two years, commencing March 30, 2018, while last spring Euronet renewed its U.S. Walmart2Walmart agreement for three years, the analyst pointed out, adding that this means that in March 2020, all white-label Walmart business could be up for grabs. Overall, Shutler believes the news arguably adds a little more uncertainty to the Euronet story. PRICE ACTION: In afternoon trading, shares of Euronet have dropped almost 6% to $71.64, while MoneyGram's stock has gained over 3% to $8.43. Meanwhile, shares of Walmart have advanced more than 1% to $86.62.

14:56 EDT Greenlight Capital says theses intact despite recent results - The Greenlight Capital Funds retuned (13.6)%, net fees and expenses, in the first quarter of 2018, while the S&P 500 index returned (0.8)%. In a letter to investors, David Einhorn's Greenlight Capital lamented over its losses that "were broad throughout the portfolio, but generally shallow." He added, "We had nine positions -- six longs and three shorts -- that each cost more than 0.5% and only one, Micron Technology (MU), that generated a gain of over 0.5%, despite out portfolio having a decent earnings season." Despite recent results, Greenlight said it believes its investment theses remain intact. MARKET REACTION TO EARNINGS: Looking at its 20 largest longs and 20 largest shorts and their earnings report, Einhorn's Greenlight Capital pointed out that given the market's reaction, there were 22 companies that beat expectations, including Netflix (NFLX), five that met expectations, and 13 that disappointed, including Tempur Sealy (TPX). However, Greenlight noted that the longs that met or exceed expectations wound up losing 4% and those that missed fell 17%, while shorts that exceeded expectations finished the quarter up 19% and the shorts that missed expectations also finished up 5%. "It is difficult to fully explain what caused the results," the letter read. General Motors (GM), for example, advanced 6% on the day of the earnings release, before rolling over and falling 18% from its peak to the end of the quarter. "We just don't see what the market may be saying, and we believe that GM is more likely to exceed near and intermediate-term forecasts than to disappoint." INVESTMENTS REMAIN INTACT: Nonetheless, Einhorn's Greenlight Capital believes its "investment theses remain intact. Despite recent results, our portfolio should perform well over time." In the letter, Greenlight also noted that it exited a number of positions during the quarter, including Chemours (CC). At quarter-end, the largest disclosed long positions in Greenlight Capital Funds were AerCap (AER), Bayer (BAYRY), Brighthouse Financial (BHF), General Motors and gold.

PRODUCTION, DELIVERIES: In a regulatory filing, Tesla said that first quarter production totaled 34,494 vehicles, a 40% increase from the fourth quarter and "by far the most productive quarter in Tesla history. 24,728 were Model S and Model X, and 9,766 were Model 3. The Model 3 output increased exponentially, representing a fourfold increase over last quarter. [...] We were able to double the weekly Model 3 production rate during the quarter by rapidly addressing production and supply chain bottlenecks, including several short factory shutdowns to upgrade equipment. In the past seven days, Tesla produced 2,020 Model 3 vehicles. In the next seven days, we expect to produce 2,000 Model S and X vehicles and 2,000 Model 3 vehicles. [...] Given the progress made thus far and upcoming actions for further capacity improvement, we expect that the Model 3 production rate will climb rapidly through Q2. Tesla continues to target a production rate of approximately 5,000 units per week in about three months, laying the groundwork for Q3 to have the long-sought ideal combination of high volume, good gross margin and strong positive operating cash flow. As a result, Tesla does not require an equity or debt raise this year, apart from standard credit lines. Q1 deliveries totaled 29,980 vehicles, of which 11,730 were Model S, 10,070 were Model X, and 8,180 were Model 3." The company added that its Q1 performance keeps it on track for its previously communicated full-year 2018 Model S and X delivery guidance. 'GOOD ENOUGH': Commenting on Tesla's production and delivery update, Baird's Kallo reiterated an Outperform rating and $411 price target on the carmaker's shares as he believes the announcement was "good enough." The analyst highlighted that Tesla has indicated no capital raise will be needed in 2018, which has been a recent bear argument, as cash flow should increase along with Model 3 production. Importantly, Kallo believes that the growing Model 3 production rate should allow the company to have significantly higher volumes in the third quarter onward, which should drive solid gross margins and operating cash flow. Meanwhile, KeyBanc analyst Brad Erickson told investors in a research note of his own that he believes Tesla shares should see a relief rally after the company's first quarter delivery report came in "better than feared" and showed that significant improvement has been made in Model 3 production. Tesla bears will "almost certainly question" the company's pledge that it needs no more capital raises this year, but Erickson thinks if Model 3 production approaches 4,000-5,000 per week, Model 3 gross margins should turn profitable. While Model S and X deliveries were below the Street's sell-side estimates, they were likely "good enough" for the buy-side, Erickson added. Nonetheless, he reiterated a Sector Weight rating on the stock as he ultimately struggles with investor perceptions of the company's innovative superiority in the areas of manufacturing, batteries, software, AI, and competition. 10:29 EDT Street Fight: Analysts split on Intel after report Apple plans Mac chip switch - Commenting on Bloomberg's report saying Apple (AAPL) plans to replace Intel (INTC) processors in Mac computers with its own chips, several Wall Street analysts said they see the weakness in the semiconductor makers' shares as a buying opportunity. However, not all were as bullish. Jefferies analyst Mark Lipacis believes the report adds to the competitive pressure already facing Intel, while Bernstein analyst Stacy Rasgon thinks the biggest risk for Intel is not direct financial impact but whether this could be "the first crack" in its story. APPLE SAID TO PLAN OWN MAC CHIPS: Yesterday, Bloomberg reported that Apple is planning to replace processors from Intel that it currently uses in Mac computers with its own chips. The change, which could begin as early as 2020, is part of a larger strategy to make all of Apple's devices work more similarly and seamlessly together, the report noted. BUYING OPPORTUNITY?: Reports of Apple potentially using its own chips in the Mac are not new, JPMorgan analyst Harlan Sur noted, adding that he estimates Apple has about 7% PC market share and currently represents about 3%-4% of Intel's total revenues and operating profitability. However, Sur believes Apple's PC compute platforms will represent less than 3% of Intel's total revenues and operating profitability in the 2020 timeframe. More importantly, the analyst expects Apple will continue to buy Intel's flagship Xeon processors to power its current and future datacenters and continue to use Intel's cellular modem portfolio to power its iPhone/iPad product lines. The analyst recommended buying shares of Intel amid the pullback. Voicing a similar opinion, Citi analyst Christopher Danely told investors to use the pullback in shares of Intel as a buying opportunity. The analyst thinks Apple may try to install some internal chips in its low-end notebooks but believes the "difficulty in using them will render the experience miserable." He also estimates the maximum downside risk from Apple's in-house chips at 2c to Intel's 2020 earnings. Danely reiterated a Buy rating and $58 price target on Intel's shares. COMPETITIVE RISK: Not as bullish, Jefferies' Lipacis said he would expect Intel to fight aggressively and creatively to keep Apple as a customer, and estimates that Apple is only about a 5% customer for Intel. The analyst noted that the new report is consistent with his argument that semis would see vertical integration by customers and that Intel faces risk of increased competition and lower margins. While Intel already faces higher competition from Nvidia (NVDA), AMD (AMD) and Cavium (CAVM), the Apple report suggests added competitive risk, the analyst contended, reiterating an Underperform rating and $38 price target on Intel shares. Also voicing concern, Bernstein's Rasgon told investors that this latest market speculation "feels more real." With Apple not being a huge PC vendor, Rasgon does not think direct financial impact is the biggest potential concern. Rather, the bigger risk is whether this could simply be, if true, the first crack to the Intel story that could conceivably develop into a chasm. Further, Rasgon pointed out that if Apple can prove that its own architecture can credibly replace what have likely been high-end SKUs from Intel, an existence proof for the potential viability of ARM in the PC space will have been provided, as well as throwing the door open for other, more damaging competition down the road. PRICE ACTION: In morning trading, shares of Intel have slid about 0.5% to $48.65 after seeing their biggest drop in two years on Monday by falling 6%.

Arnaud Ajdler, managing member of Engine Capital, said, "We are deeply concerned that Navigant may be seeking to delay holding its Annual Meeting, as the company has yet to provide public notice of the record date or meeting date. Historically, the company has held its annual meetings in mid-May going back to 2012, with a corresponding record date between March 25th and March 31st. Navigant set a record date of March 30, 2017 for last year's "virtual-only" annual shareholder meeting through a notification to Broadridge Financial Solutions on or around January 24, 2017. As of today, more than two months after the one-year anniversary of its notification to Broadridge of the 2017 record date, we understand that the company has yet to provide Broadridge with notice of its 2018 record date. At this stage, given the SEC requirement that Navigant provide 20 business days' advance notice of the record date to banks and brokers, we believe the earliest the Company could possibly set the record date under applicable SEC and NYSE rules would be in May. We are troubled by this development and hope the company is not delaying its annual meeting in an attempt to improperly perpetuate the status quo. We remain open to a constructive dialogue with the company in order to avoid a proxy contest, but rather than engage with us, the Board has rejected our settlement offers out of hand and now appears to be delaying the shareholder vote on directors. We urge the Board not to pursue entrenchment tactics, such as delaying the annual meeting or seeking to unilaterally add self-selected directors in an effort to reactively appease other shareholders and avoid real change. We remain confident that our slate of highly qualified director candidates would, if elected, revitalize the Board and help put the company on the right path towards delivering long-term shareholder value. We call on the company to announce its 2018 Annual Meeting date without further delay."

March will be the last monthly sales report from GM, and the automaker is going out with a bang by reporting much better than expected sales last month. MOVING TO QUARTERLY SCHEDULE: Effective immediately, General Motors said it will move to a quarterly schedule for reporting its U.S. auto sales after reporting sales monthly for decades. In a statement, Kurt McNeil, GM's U.S. vice president of sales and operations, explained that "Thirty days is not enough time to separate real sales trends from short-term fluctuations in a very dynamic, highly competitive market." He added that "reporting sales quarterly better aligns with our business, and the quality of information will make it easier to see how the business is performing." The automaker cited product launch activity, weather, other seasonal factors, the number of selling days and incentive activity as reasons it decided to drop the monthly sales reports. Separately, the automaker said its March U.S. sales were up 15.7% to 296,341 vehicles. WHAT'S NOTABLE: Until the mid-1990s, it was common for car makers to report sales figures as frequently as every ten days, though most now report on a monthly basis. When auto sales were plunging in 2008, the monthly sales reports helped investors and analysts gauge how quickly both the auto industry and economy were deteriorating. It is unclear whether other auto makers will cease to report monthly sales figures. Tesla (TSLA) has never reported monthly sales and has only released its figures on a quarterly basis. This morning, Tesla said that it produced 34,494 vehicles in the first quarter, up 40% from the fourth quarter, and delivered 29,980 vehicles, of which 11,730 were Model S, 10,070 were Model X, and 8,180 were Model 3. PEERS' MARCH SALES FIGURES: Meanwhile, FCA US (FCAU) reported March U.S. sales up 14% to 216,063 vehicles, while Ford (F) said its March U.S. sales grew 3.4%, with 244,306 vehicles. Other automakers reporting U.S. sales today include Nissan (NSANY), Toyota (TM), Honda (HMC) and Volkswagen (VLKAY). PRICE ACTION: Following the release of its March sales, GM is up about 3% to $36.81.

Sales were up 16% year over year, driven by Buick's best March since 2004, Chevrolet's best March since 2007 and Cadillac's best March since 2014. It was GMC's best March in the brand's history. GM's retail sales in March were up 14% year over year, and the company's estimated retail market share was 17.7% - the highest since 2009 - driven by a 0.7 percentage point gain by Chevrolet. Chevrolet was the industry's fastest-growing full-line brand. In the first quarter, GM sales were up 4%, ahead of an estimated industry increase of about 2%. Retail deliveries for GM and the industry were up about 1% versus a year ago. "March was an exceptional month for us. A growing economy and strong new products helped us execute a very successful plan to conquest customers from other brands," said Kurt McNeil, U.S. vice president, Sales Operations. "Once customers purchase a GM product, they tend to stay in the family as we deliver an award-winning ownership experience that is hard to beat."

The acquisition supports our long-term financial objectives for increased sales growth, margin expansion and strong free cash flow generation. Excluding the effects of purchase accounting, it is expected to be accretive to Curtiss-Wright's 2018 earnings per share and produce a free cash flow conversion in excess of 100%.

09:03 EDT Tesla says Q1 production totaled 34,494 vehicles, up 40% from Q4 - Tesla says in a regulatory filing: " Q1 production totaled 34,494 vehicles, a 40% increase from Q4 and by far the most productive quarter in Tesla history. 24,728 were Model S and Model X, and 9,766 were Model 3. The Model 3 output increased exponentially, representing a fourfold increase over last quarter. This is the fastest growth of any automotive company in the modern era. If this rate of growth continues, it will exceed even that of Ford and the Model T. We were able to double the weekly Model 3 production rate during the quarter by rapidly addressing production and supply chain bottlenecks, including several short factory shutdowns to upgrade equipment. In the past seven days, Tesla produced 2,020 Model 3 vehicles. In the next seven days, we expect to produce 2,000 Model S and X vehicles and 2,000 Model 3 vehicles. It is a testament to the ability of the Tesla production team that Model 3 volume now exceeds Model S and Model X combined. What took our team five years for S/X, took only nine months for Model 3. Given the progress made thus far and upcoming actions for further capacity improvement, we expect that the Model 3 production rate will climb rapidly through Q2. Tesla continues to target a production rate of approximately 5,000 units per week in about three months, laying the groundwork for Q3 to have the long-sought ideal combination of high volume, good gross margin and strong positive operating cash flow. As a result, Tesla does not require an equity or debt raise this year, apart from standard credit lines. Q1 deliveries totaled 29,980 vehicles, of which 11,730 were Model S, 10,070 were Model X, and 8,180 were Model 3. Net orders for Model S and X were at an all-time Q1 record, and demand remains very strong. Model S and X customer vehicles in transit were high. 4,060 Model S and X vehicles were in transit to customers at the end of Q1, which was 68% higher than at the end of Q4 2017. An additional 2,040 Model 3 vehicles were also in transit to customers. These vehicles will be delivered in early Q2 2018, which keeps us on track for our full-year 2018 Model S and X delivery guidance."

In March, recruitment was completed in the VISTA trial, a single-arm registration study designed in accordance with FDA final guidance for developing treatments for BCG-unresponsive NMIBC.

This new alliance, with Allogene's dedicated team, is expected to lead to a strong acceleration of CAR T therapies. Cellectis' CAR T platform provides a proprietary, allogeneic approach that uses engineered T-cells from a healthy donor for use in multiple patients.

08:07 EDT AstraZeneca announces FDA approval of Bydureon for use in T2D patients - AstraZeneca announced the FDA has approved BYDUREON for injectable suspension as an add-on therapy to basal insulin in adults with type 2 diabetes with inadequate glycemic control. BYDUREON is approved for adults with T2D whose blood sugar remains uncontrolled on one or more antidiabetic medicines in addition to diet and exercise, to improve glycemic control. The expanded use is based on results from the 28-week DURATION-7 study, which examined the effect of BYDUREON or placebo as add-on therapy to insulin glargine, with or without metformin, in adults with T2D. Mean HbA1c was reduced by 0.9% in the BYDUREON group compared to 0.2% in the placebo group in patients with a mean baseline HbA1c of 8.5%. Furthermore, 32.5% of patients in the BYDUREON group reached an HbA1c of less than7.0% compared to 7.0% of patients in the placebo group. There were no new safety findings in the DURATION-7 study. Overall hypoglycemia was similar between the groups, with no reported major hypoglycemia. In both arms, the same percentage of patients reported minor hypoglycemia. Like other GLP-1 receptor agonists, the risk of hypoglycemia is increased when BYDUREON is coadministered with insulin. Prescribers should consider lowering the dose of insulin when coadministering BYDUREON.

07:19 EDT Bio-Path says prexigebersen plus LDAC shows early anti-leukemic activity - Bio-Path Holdings announces that interim data from its Phase 2 study of prexigebersen in combination with low-dose cytarabine for the treatment of acute myeloid leukemia has demonstrated that the combination therapy continues to be well-tolerated and has shown early anti-leukemic activity in nearly 50% of evaluable AML patients including four patients with complete remission and four with stable disease to date in this study. The open-label Phase 2 study is evaluating the efficacy and safety of prexigebersen in conjunction with LDAC, a therapeutic regimen well established in treatment of AML patients who cannot or elect not to be treated with more intensive chemotherapy. The primary objective of the study is to determine whether the combination of prexigebersen and LDAC provides greater efficacy than what would be expected with LDAC alone in this de novo patient population. The study had a pre-determined decision point at 19 evaluable patients in which the study would be terminated if less than 5 patients responded and the study would be expanded to 54 patients if five or more patients responded. The interim analysis was performed on 17 evaluable patients instead of 19, since criteria to move to the next steps in the study had been met. Of the 17 evaluable patients, there were four patients who achieved complete responses, one patient who achieved a morphologic leukemia free state, two patients who had significantly reduced bone marrow blasts and four patients with stable disease. In total, 47% of the evaluable patients showed some form of response, including stable disease, to the combination treatment. The average age of patients in the study was 73.5 years old. Based on the recommendations of the principal investigators of the study, the company is amending the protocol to change the dosing schedule to that used in the Phase 1b study in relapsed and refractory AML patients in which a higher dose of prexigerbesen was administered prior to LDAC treatment starting at day 10 versus LDAC treatment starting on day four as was the case in the BP1001-201 study to date. In addition, the investigators endorse the inclusion of a decitabine cohort based on relatively new and positive data with this compound.

In 2018, second quarter sales will be released on July 3, third quarter sales on October 2 and fourth quarter sales on January 3, 2019. "Thirty days is not enough time to separate real sales trends from short-term fluctuations in a very dynamic, highly competitive market," said Kurt McNeil, U.S. vice president, Sales Operations. "Reporting sales quarterly better aligns with our business, and the quality of information will make it easier to see how the business is performing." In the auto industry, monthly sales are subject to many issues that make them more volatile than quarterly sales, including product launch activity, weather, other seasonal factors, the number of selling days and incentive activity.

06:09 EDT 21st Century Fox: Disney has 'expressed interest' in buying Sky News - 21st Century Fox (FOX, FOXA) issued the following statement regarding the revised set of remedies to safeguard the independence of Sky News that 21CF submitted to the Competition and Markets Authority: "We have worked diligently with the CMA throughout its extensive review. In fact, we believe that the enhanced firewall remedies we proposed to safeguard the editorial independence of Sky News (SKYAY) addressed comprehensively and constructively the CMA's provisional concerns. These enhanced remedies went above and beyond what Ofcom, the expert, independent regulator on UK broadcasting, had stated would mitigate concerns around media plurality. We are aware that a group of politicians that is opposed to the transaction is seeking to influence the CMA and is making a number of unsupported and fanciful assertions. If the CMA were to accept at face value these assertions and be dissatisfied with enhanced remedies that are a direct and reasonable response to concerns it had raised with us, we believe that this would compromise the integrity of a system which is supposed to be objective, evidenced-based and grounded on the application of established legal principles. We have now submitted a new, revised set of remedies should they be considered necessary by the CMA and ultimately by the Secretary of State for Digital, Culture, Media and Sport: 21CF proposed new ring-fencing remedies which would effect the legal separation between Sky News and the rest of Sky, establishing Sky News as a distinct company within the Sky Group, with its own fully independent board and under the management control of the Head of Sky News. Under this proposal, Sky News would operate entirely independently with guaranteed funding by 21CF for 15 years. Additionally, we offered personal undertakings given by 21CF's Executive Chairmen and its CEO not to influence or attempt to influence the editorial choices made by the Head of Sky News. We offered this even though the record before the CMA shows that, over the course of nearly 30 years as Sky's founding shareholder, neither 21CF, nor the Murdoch Family Trust, have ever sought to influence the editorial direction of Sky News. Alternatively, The Walt Disney Company has expressed an interest in acquiring Sky News, with a view to adding it to Disney's existing portfolio of television channels, whether or not Disney's proposed acquisition of 21CF proceeds. We remain committed to working with the CMA to find remedies that will ensure the continued editorial independence of Sky News. We will continue to work with the regulator, and then the Secretary of State at the appropriate time, and leave open the possibility to pursue all of our legal options if necessary."
