Crowley and Michael D. Kishbauch, with five of its own nominees. The company states: "The Progenics Board, in consultation with its financial and legal advisors, is carefully reviewing Velan's filing and will communicate with shareholders in due course. The Progenics Board is deeply disappointed that Velan has chosen to pursue a distracting and value-destructive consent solicitation campaign rather than working constructively with the company to reach a mutually agreeable resolution in the best interests of all shareholders. 16:31 EDT U.S. Steel sees Q3 adj. EBITDA to be approximately $115M - "The positive flat-rolled steel market indicators experienced earlier this summer have softened after a brief recovery in steel selling prices. The impact of falling steel prices through the second quarter, combined with the impact of a larger than expected drop in scrap prices on market sentiment, is expected to negatively impact Flat-rolled earnings in the second half of the year. As a result, our current assessment of the Flat-rolled segment suggests two blast furnaces will remain idled through at least the end of the year. Based on the continued idling of our two U.S. blast furnaces and current demand forecasts, we now expect full year Flat-rolled shipments to third party customers to be approximately 10.7 million tons. We will continue to evaluate our footprint to best match our production with our order book. In Europe, market conditions have continued to deteriorate, as the dislocation between steel selling prices and raw material costs continues to result in significant margin compression. Based on current market conditions and the continued high level of steel imports into Europe, we do not expect to restart the currently idled blast furnace this year. As a result, we reiterate our full year shipment guidance of approximately 3.6M tons. We also continue to execute our labor productivity strategy at U. S. Steel Europe, which includes a headcount reduction of 2,500 by the end of 2021. To date, we have eliminated approximately 1,800 positions. We expect our Tubular segment to remain under pressure for the remainder of the year as market conditions have turned negative and import levels remain high. Weaker demand for oil country tubular goods product, which has reduced our full year shipment expectation to approximately 0.7 million tons, and lower selling prices for seamless and welded pipe, are expected to have a significantly negative impact on earnings in the second half of the year," said the company in a statement.

16:31 EDT Whirlpool expects to incur about $127M in costs related to Italy plant sale - In a regulatory filing, Whirlpool said that on June 6, 2019, it disclosed certain updates to Whirlpool EMEA's Italian industrial plan. In connection with the update, Whirlpool EMEA announced its intention to reconvert its Naples, Italy manufacturing plant and potentially sell the plant to a third party. At that time, the company was unable to determine the estimated amount or range of amounts to be incurred by major cost type or the future cash expenditures pursuant to this restructuring program. The company now reports that on September 16, 2019, it entered into a preliminary agreement to sell the plant to a third-party purchaser and to support costs associated with the transition. Finalization of the transaction is subject to satisfaction of certain conditions precedent. The company now anticipates that it will incur approximately $19M in employee-related costs, approximately $29M in asset impairment costs, and approximately $79M in other associated costs in connection with this action. The company estimates that $98M of the estimated $127M total costs will result in future cash expenditures. The company estimates that approximately $122M of the $127M total costs will be incurred in 2019 and that approximately $73M of the estimated $98M total cash expenditures will occur in 2019. The company expects these actions to be completed in 2020. As discussed on the company's second-quarter earnings call, restructuring guidance was adjusted to reflect additional opportunities in the company's EMEA region, inclusive of the company's previously disclosed intention to sell this Naples, Italy manufacturing plant. The costs outlined were broadly encompassed within that adjusted guidance.

The article cited the contracts with Gilead (GILD) and Novartis (NVS) that it claimed were set to expire in 2020: "The problem with technology is that bad reports can get out and inaccuracies can get out into the marketplace and Seeking Alpha is such an event. It was a very poorly written article with very little truth to it. The contracts that we have with these two companies - Gilead and Novartis - are evergreen contracts. We set the usual term of all contracts that we negotiate to three years because it's a very fast changing, very fast-moving industry. Once we have reached that foundational point, the contracts turn evergreen. So, they're automatically renewed every year. We are entrenched in both of these companies. "Elite athletes of all species tend to have more diarrhea than their healthy but more sedentary counterparts, and while the episodes of diarrhea may not be life-threatening, they are nevertheless significant if the goal is peak physical performance. Thus, there is a considerable need in the world of working dogs for products that can reduce the incidence and severity of exercise-induced diarrhea without affecting performance," commented Dr. Michael Davis, DVM, Ph.D., DACVIM, DACVSMR, a veterinary physiologist and board-certified specialist in veterinary internal medicine and veterinary sports medicine at Oklahoma State University, where he conducts research on animal exercise physiology and performance. To expedite the submission and application process for the EID indication, Jaguar will be leveraging use of the same major technical sections for EID that have been or will be submitted in support of the Company's application for crofelemer delayed-release tablets for the indication of chemotherapy-induced diarrhea in dogs. 08:20 EDT Overstock.com to distribute freely tradable Series A-1 shares in dividend - Overstock.com announced on July 30, 2019 that its Board of Directors had declared a dividend payable in shares of its Digital Voting Series A-1 Preferred Stock. "We have received a great deal of interest surrounding our Series A-1 dividend from shareholders, broker-dealers, regulators, and the general market. It is innovative and ground-breaking in its design - one that is structured to comply strictly with existing regulatory standards and investor protections. It also introduces blockchain technology to enhance the investor experience. It is an important step on the journey to demonstrate that blockchain technology has enormous potential to transform society for the better," said interim CEO Jonathan Johnson. "In view of the feedback we received from industry participants, investors, and regulators with respect to the Series A-1 stock dividend, and in order to provide greater liquidity, we are working with the appropriate regulatory authorities to structure the issuance of the dividend shares so they would be freely tradable by non-affiliates immediately upon distribution. We believe this will be a major benefit to investors. Thus, we will seek to register the shares with the appropriate regulatory authorities. We expect the result will be that, immediately upon distribution, such dividend shares will be freely tradable without the six-month holding period requirement under Rule 144. We are already working closely with regulators to register the shares and achieve that result. In light of this, we are postponing the previously-announced September 23, 2019 record date. We expect to announce a new record date for the dividend shares in as soon as approximately three to six weeks, as we work to conclude the registration process. Once we announce the new record date, we will also announce a new distribution date, which may be sooner or later than the previously announced November 15, 2019 distribution date."

08:10 EDT Apellis announces publication of efficacy, safety data of intravitreal APL-2 - Apellis Pharmaceuticals announced details about its Phase 2 FILLY study investigating intravitreal APL-2 for the treatment of geographic atrophy secondary to age-related macular degeneration have been published in Ophthalmology, the journal of the American Academy of Ophthalmology. Publication of the full study report follows the release of topline study results earlier this year and shows that treatment with APL-2 resulted in statistically significant reductions in the growth of GA lesion area compared to sham at month 12. The FILLY study was a Phase 2, multicenter, randomized, single-masked, sham-controlled clinical trial evaluating APL-2 in 246 patients with GA secondary to AMD conducted at over 40 clinical sites in the United States, Australia and New Zealand. APL-2 was administered as an intravitreal injection monthly or every other month for 12 months, followed by six months of monitoring after the end of treatment. The primary efficacy endpoint was the change in GA lesion area from baseline to month 12 compared to sham. At 12 months, patients treated with APL-2 showed a 29% reduction in the growth of GA lesion area in the monthly treatment group and a 20% reduction in the EOM treatment group compared to the pooled sham group. Statistical significance was defined as pless than0.1 for this study. Post-hoc analysis showed that the effect was more pronounced in the last six months of treatment, with observed reductions of 45% and 33% for APL-2 monthly and EOM, respectively, compared to sham. The administration of APL-2 was generally well tolerated. There was an increased incidence of exudation in APL-2 treated eyes compared to sham-treated eyes, which was manageable with the administration of standard-of-care treatment. The U.S. Food and Drug Administration granted APL-2 Fast Track Designation for the treatment of GA, which facilitates the development and expedites the review of investigational therapies to treat serious conditions and fill an unmet medical need. Apellis is currently enrolling two global confirmatory Phase 3 studies for patients with GA. These identical, prospective, multicenter, randomized, double-masked, sham-injection controlled studies are designed to assess the efficacy and safety of multiple IVT injections of APL-2 in patients with GA secondary to AMD.

07:37 EDT OpGen says Curetis collaborator obtains option to license ARESdb - OpGen reported an update on the business of Curetis GmbH, the other party to the planned business combination with OpGen. On September 16, 2019, Curetis announced that its wholly-owned subsidiary Ares Genetics has entered into a multi-phase collaboration with an undisclosed leading global in vitro diagnostics corporation to jointly develop diagnostic solutions for infectious disease testing based on next-generation sequencing technology. The companies signed an R&D and option agreement for the first phase of the collaboration. As Curetis announced, the collaboration follows the successful completion of a feasibility study in which Ares Genetics correctly identified 100% of the pathogen species and successfully predicted antibiotic resistance for over 50 drug/pathogen combinations in line with FDA requirements. In a first phase of the collaboration expected to take about 12 months, the parties will further enrich ARESdb with a focus on certain pathogens relevant in a first, undisclosed infectious disease indication. Additional clinical isolates of such pathogens will be sequenced by Ares Genetics at its recently established NGS laboratory in Vienna, Austria. Based on this enlarged and enriched dataset, Ares Genetics will further optimize the algorithms for predictive antibiotic resistance testing for drug/pathogen combinations particularly relevant in the targeted indication to enable NGS-based infectious disease diagnostics. Under the initial agreement signed between Ares Genetics and the collaboration partner on September 16, 2019, the collaboration partner will fully fund the Ares Genetics' research and development activities for the genotypic and phenotypic characterization of additional bacterial strains to augment ARESdb and the development of optimized algorithms for predicting antibiotic resistance. Furthermore, in return for an undisclosed up-front option fee, the collaboration partner obtains a right of first negotiation for an exclusive human clinical diagnostic use license to ARESdb and the ARES Technology Patform. OpGen and Curetis entered into a definitive agreement to combine businesses on September 4, 2019. The closing of the transaction under such definitive agreement has not yet occurred and is subject to a number of significant closing conditions, including receipt of approval from the stockholders of OpGen, Inc. and the shareholders of Curetis, N.V. 07:36 EDT Accelerate Diagnostics reports 'positive' results in three Pheno system studies - Accelerate Diagnostics released "positive" results from three clinical studies on the Accelerate Pheno system that will be presented at IDWeek 2019. The first of these studies is the ARLG-sponsored RAPIDS-GN clinical study conducted at Mayo Clinic and UCLA. The study successfully achieved its primary endpoint, demonstrating a statistically significant reduction in time to first antibiotic change for patients with Gram-negative blood stream. RAPIDS-GN is the first multi-center, randomized controlled trial to evaluate the impact of rapid ID and AST technology for the management of patients with blood stream infections. As expected, differences in secondary endpoints like mortality and length of stay did not achieve statistical significance. Two abstracts to confirm and extend the findings of RAPIDS-GN. The University of Iowa showed antibiotic therapy was optimized within 15.3 hours for patients tested with Pheno. Among 277 interventions made based on Pheno results, 80% resulted in antibiotic change, and over one third were due to the patient not being covered for the causative organism identified. Similarly, UAMS found a 1.1 day improvement in time to optimal therapy and confirmed prior findings that demonstrated between 0.5 and 2.4 days shorter length of stay for patients with bacteremia and tested by Pheno over historical cohorts.

In addition, new data further demonstrating the safety and efficacy of treatment with SPINRAZA in individuals with later-onset SMA will be featured in a podium presentation at the 13th Congress of the European Paediatric Neurology Society. Data to be presented at EPNS demonstrate improvements or stabilization in motor function following longer-term treatment. An integrated analysis from SHINE, an open-label extension study for patients with SMA who participated in prior SPINRAZA studies, found that children with later-onset SMA experienced improvements or stabilization in one or more measures of motor function for up to nearly six years, in contrast to the expected decline observed in natural history cohorts. SHINE is following 24 patients aged 2-15 at treatment initiation who transitioned from the CS2/CS12 studies, which previously showed that individuals with later-onset SMA who were treated with SPINRAZA demonstrated improvements in motor function and disease stabilization over approximately three years, that were not observed in natural history cohorts.2 Patients in the study were between 7 and 21 years old at the last study visit. Motor function measures in this analysis of the SHINE study included the Hammersmith Functional Motor Scale-Expanded, Upper Limb Module, and Six-Minute Walk Test. No participants discontinued treatment due to adverse events, and no new safety concerns were identified during the nearly six-year follow-up period.

The termination notice claims material breaches by the distributors in the performance of its obligations under the distributorship agreement, the company said.
